An existing Wendy’s restaurant operator is seeking a stake in the company behind the brand. Flynn Group joined Trian, BlueFive Capital and Sixth Street Partners in an October 28 proposal to buy Wendy’s shares the group does not own for $7.35 each in cash. The proposal letter
Flynn entered the Wendy’s system in 2021 by acquiring more than 190 U.S. restaurants. It added the master-franchise license for Australia in 2023 and for New Zealand in 2024. Its Australian agreement came with a goal of developing 200 restaurants by 2034, extending its role from operating existing locations to building the brand in another market. Flynn’s operating history
For the proposed acquisition, Flynn and Trian have signed a separate cooperation agreement. They agreed to work together on the bid’s structure, price, advisers, financing and negotiations with Wendy’s. Flynn also represented that it and its affiliates had no beneficial ownership of, or economic exposure to, Wendy’s securities as of October 28. The signed agreement
The agreement makes Flynn a participant in setting the final bid and arranging financing. It also provides for information sharing, subject to confidentiality and fiduciary duties. Neither investor is required to approve or proceed with the acquisition. Cooperation terms
Funding the share purchase#
The proposed funding combines investor equity with Trian’s rollover of shares it already owns. The bidders expect to deliver equity commitment letters when definitive agreements are signed. They propose no new debt or financing condition and anticipate keeping Wendy’s existing securitization in place. The purchase cash would go to selling shareholders. Proposed financing
The bidders say private ownership would support sustained reinvestment and franchisee capital needs. Their purchase proposal is nonbinding and assumes the acquisition would neither terminate nor modify material contracts. The October 28 letter
The franchise business underneath#
Wendy’s annual report for the year ended December 28, 2025, describes the business beneath the parent company. Quality Is Our Recipe LLC is the owner and franchisor of the Wendy’s system outside Canada. A separate subsidiary, Wendy’s Funding LLC, issues the securitized debt, backed by franchise-related agreements, intellectual property and certain restaurant assets. The 2025 filing
The report says the agreement governing most U.S. franchised restaurants requires monthly royalties of 4% of sales, as defined in that agreement. The company also earns franchise rental income. Relationship agreements with certain franchisees address participation in reimaging, technology, menu and marketing initiatives, and consent for specified ownership changes or refinancing. Franchise arrangements
These agreements tie franchisee sales and investment to the brand’s operating model. The secured financing adds obligations, including trustee cash accounts reserved for note payments and limits on specified borrowing, asset sales and mergers, subject to exceptions. Debt arrangements
The proposed ownership change would therefore sit above existing contracts governing restaurant payments and investment. Proposal; franchise agreements.
The company’s response#
Wendy’s said on October 28 that a committee of independent directors unaffiliated with the investor group would evaluate the offer. The board formed the committee in response to Trian’s February filing. Morgan Stanley is its financial adviser, and Simpson Thacher & Bartlett is its legal counsel. Wendy’s statement
Blackwells Capital, which identifies itself as a Wendy’s shareholder, objects to the price and process. Its October 28 statement called for rejection of the proposal as filed and a test of what other buyers would pay. It also sought approval from a majority of shareholders being bought out and said it would pursue available shareholder avenues to oppose these terms. Blackwells’ position
Wendy’s said President and CEO Bob Wright’s priorities include a stronger menu at attractive prices, marketing to bring in customers, better restaurant execution and digital tools to encourage repeat visits. The company said more detail on its strategic plan would accompany third-quarter results on November 5. The company’s next update
